Freelancer Engagement Agreement - Independent Contractor Relationship

By Signing up to our Affiliation program you agree to the following terms and conditions:

Whereas the Client operates a business utilizing the 432 Player software, and the Service Provider desires to provide services to the Client;

Now, therefore, the parties hereby agree as follows:

1. Introduction

A. The preamble of this contract is incorporated herein by reference, and the parties affirm its accuracy.

B. Headings in this contract are for convenience only and shall not affect the interpretation of its provisions.

2. Scope of Services

A. This contract governs the engagement of the Service Provider for services related to the use of the 432 Player software.

B. This contract supersedes any prior agreements, whether written or oral, between the parties concerning the subject matter herein.

C. The Service Provider shall adhere to the Client's operational procedures as outlined in the appendix to this agreement.

3. Representations and Warranties

A. The Service Provider represents that they possess the requisite skills and experience to perform the services in accordance with industry standards.

B. The Service Provider agrees not to engage in activities that directly compete with the Client's business.

C. The Service Provider shall adhere to the Client's operational procedures as outlined in the appendix to this agreement.

4. Term and Termination

A. This contract shall remain in effect indefinitely unless terminated by either party with fourteen (14) days' written notice.

5. Compensation

A. The Service Provider shall receive compensation based on the following conditions:

For each new customer referred by the Service Provider who subscribes to a paid plan of the 432 Player software (monthly or yearly), the Service Provider shall receive a payment of a percentage of the subscription monthly or yearly price.

B. Payments shall be made against valid tax invoices or receipts.

C. The Service Provider acknowledges and agrees that they are engaged as a freelancer and are not entitled to employee benefits.

6. Confidentiality and Non-Compete

A. The Service Provider shall maintain confidentiality regarding all proprietary information of the Client obtained during the engagement.

B. The Service Provider agrees not to solicit or engage with the Client's customers for competitive purposes following termination of this agreement.

7. Independent Contractor Relationship

A. The parties acknowledge that this agreement establishes an independent contractor relationship, not an employer-employee relationship.

B. The Service Provider agrees that the compensation provided herein is in lieu of any employee benefits.

C. In the event that a court determines an employer-employee relationship exists, any sums received by the Service Provider under this agreement shall be offset accordingly.

8. General Provisions

A. This agreement does not create any agency, partnership, or joint venture between the parties.

B. The compensation provided herein is inclusive of any entitlements that would be due to an employee.
